1. Introduction

The general terms and conditions of sale detailed below, exclusively govern the contractual relations between any user of the Ritme.com website and the merchant Scientific Solutions A.A. SA (RITME Scientific Solutions), whose head office is located Rue Saint Laurent 21, CH 1003 Lausanne – Switzerland

The present general conditions of sale govern the contractual relations between Scientific Solutions and its customer, the two parts accepting them without reserve. The present general conditions of sale are modifiable at any time without notice.

Each purchase on the Scientific-solutions.ch website is governed by the general conditions applicable at the date of the order. When you click on the button “Complete my order”, you declare to accept without reserve the present conditions.

2. Placing an order

To place your order, we have different means at your disposal:

– by Internet directly on the website 7/7 – 24/24 www.ritme.com

– by telephone on 021 711 15 20, Monday to Friday from 8:30 am to 5:30 pm without interruption.

The method of acquisition of your product will be by download.

Payment approval times vary depending on the method of payment. In no case Scientific Solutions can be responsible for a delay related to the approval of the payment by the Customer.

An electronic invoice will also be editable and printable directly on your account once the payment has been approved and/or the receipt has been received in the case of offers subject to eligibility.

3. Pricing

3.1 Selling prices

The sale prices of the Products are those in effect on the day the order is placed. The prices indicated on the site are in Swiss francs, including shipping costs.

3.2 Price modification

RITME Scientific Solutions reserves the right to modify its prices at any time. The products will be invoiced on the basis of the prices in force at the time of the validation of the order.

3.3 Tax

Only the foreign Customers or the Customers benefiting from specific provisions will be invoiced net of tax, the declaration being at the initiative of the Customer receiving the product.

Any customer whose head office is located in Switzerland, wishing to export products acquired from RITME Scientific Solutions and wishing to be invoiced free of VAT must formulate a request to the sales department of Scientific Solutions.

The customer will mention the VAT-free invoicing when placing the order.

In addition, the customer will have to send imperatively and before any delivery the following documents by mail:

– For an export in a country of the European Union: the number of intra-community VAT of the customer.

– For an export to a country outside the European Union:

– A photocopy of the annual visa exemption for the current year, issued by the customer’s tax office, AND

– An annual certificate of purchase free of VAT, established in original on the letterhead of the customer.

If any of these conditions is missing, the VAT-free invoicing will be definitively refused.

4. Payment of an order

RITME Scientific Solutions offers you three (3) payment methods:

By credit card: secure transaction with the Stripe system.

– By payment slip to be sent to

In the case of payment by bank transfer, the order will only be processed on receipt of the bank transfer and the valid proof of payment in the case of offers subject to eligibility.

Consequently, the deadlines applicable in this case are those on the day of receipt of the payment slip or bank transfer and/or the proof of payment.

In the case of payment by credit card in the context of offers subject to eligibility, the order will only be processed on receipt of the associated valid proof.

5. Availability

In the event of proven unavailability of the product ordered, or in the event of non-acceptance by the Customer within the delivery period that led to this unavailability, RITME Scientific Solutions will send the order by cheque to the Customer’s billing address for reimbursement or will charge the Customer’s credit card registered as a method of payment within thirty (30) days at the latest for the amount of the product ordered.

6. Delivery

Each order must be checked by us before delivery.

You will receive your code with the serial number within 24 hours.

You can access your product by clicking on the download link in the order confirmation email sent with a password.

After sending the confirmation email from RITME Scientific Solutions, you will automatically have a 90 day period to download the product. After these 90 days, the download will no longer be available and you will need to contact Scientific Solutions to access the download either by :

– by telephone on 021 711 15 20 (toll free) Monday to Friday from 8:30am to 5:30pm without interruption.

– or by using our contact form.

RITME Scientific Solutions cannot be held responsible for any inconvenience or damage inherent to the use of the Internet, in particular a break in service, external intrusion or the presence of computer viruses.

8. Liability

By express agreement between the parties, RITME Scientific Solutions is subject to a provision of funds. In no event shall RITME Scientific Solutions be liable for (a) indirect or consequential damages, (b) damages caused by delay in delivery, (b) damages caused by failure to comply with customer requirements, (c) or damages caused by causes beyond the reasonable control of RITME Scientific Solutions.

RITME Scientific Solutions wishes to make it clear that through its business model based on software distribution, it acts as an intermediary between the manufacturer/publisher and the purchaser. All products sold by RITME Scientific Solutions are covered by :

– Warranty under the conditions specified by the manufacturer

– Warranty in case of non-conformity of the ordinary delivery of the products (acceptance of the delivery of products other than those ordered or delivered in addition to the products listed on the order form)

9. Right of use

The software is protected by international laws, regulations and treaties on intellectual property. These conditions entail in any case the transfer of the reproduction and exploitation rights and generally of all the intangible rights involved in the creation of the software. The customer must refer to the specific conditions of the product for the publisher’s licences.

10 Website content

RITME Scientific Solutions has an obligation regarding the information available to customers. RITME Scientific Solutions makes every effort to ensure the reliability of the information on its website. Despite regular updating, RITME Scientific Solutions cannot be held responsible for technical inaccuracies, typographical errors or omissions in the content of the website, nor for the results that may be obtained by using this information.

The general structure as well as the texts, images, whether animated or not, and all other elements composing the Ritme.com website, including the services and products, are the exclusive property of RITME Scientific Solutions and/or elements over which RITME Scientific Solutions holds rights, including the operating systems for distribution and communication.

RITME Scientific Solutions reserves the right to provide promotional (and) advertising material in the form of articles, banners, windows, trailers or logos. In this case, the information will be identified outside of the exclusive supply by RITME Scientific Solutions with the word “ad” or a similar designation to immediately identify the business entity involved. Each overview indicates that it comes from the network and that the creator of the site is not responsible for its content.

Therefore, the company assumes no responsibility for the information published on these sites. The hypertext links set up within the framework of this website to other resources on the Internet network do not engage the responsibility of the Group.

12 Protection of personal data

RITME Scientific Solutions is particularly committed to the respect of individual liberties. RITME Scientific Solutions undertakes not to divulge information about its customers under any circumstances.

This website complies with the processing of personal data of its users. The customer has the right to access, modify, rectify and delete all information concerning him/her. The customer can exercise this right directly by sending an email via our contact form.

RITME Scientific Solutions does not collect personal data except through the order form, the contact page form, the newsletter. Not all fields included in these forms need to be filled in. RITME Scientific Solutions only needs the information necessary for the customer to ensure a qualitative treatment and a careful follow-up of the order (name, address, e-mail). The other information is only used to provide the customer with information adapted to his needs (newsletter, …).

In case of payment by credit card (available soon), the customer will be redirected directly to a secure site and the payment information transmitted there will not be transmitted to Scientific Solutions, which cannot have access to it.

The data stored by RITME Scientific Solutions serves as proof of all transactions between RITME Scientific Solutions and its customers.

13 Language and Technology

Equipment sold by RITME Scientific Solutions, including software and software accessories, are provided in English and/or French or other language as available from the manufacturer, without recourse by the buyer to RITME Scientific Solutions as a result.

14. Jurisdiction and Applicable Law

 These conditions are governed by Swiss law. Any dispute concerning the interpretation or execution of these terms and conditions shall be settled by the competent courts of the Canton of Vaud, with recourse to the Federal Court being reserved.

The French version of this document is authoritative.
